How to register a limited liability company (SL) in Spain?

You can also register an SL, which is the equivalent of a limited liability company.


Conditions for this form of entrepreneurial activity:

- Liability is limited to the statutory capital;

- The minimum investment amount is 3,000 euros;

- The number of partners is at least one;

- Taxation is done at a corporate tax rate, which varies from 15% to 30% of the profit, depending on the type of company activity.


How do I set up an SL?

- Draft articles of incorporation and have them notarized; 

- register with the Commercial Register; and 

- register with the tax authorities to obtain a CIF (company tax identification).


Important!

If you want to register an SL but don't want to spend a lot of time doing so, you can use simplified SL registration. You can, for example, electronically register a simplified SL within 48 hours, but the statutory capital cannot exceed 120,000 euros and the number of participants must be greater than 5.
