How to hold a constituent assembly of the founders of a non-governmental organization?

The constituent assembly is the first official meeting of the founders, during which key decisions on the establishment of a non-governmental organisation are made.

1. Procedure for holding a constituent assembly:

1) Gathering of the founders

  • Organise a meeting of all the founders of the future non-governmental organisation.
  • Elect a chairperson (who chairs the meeting) and a secretary (who takes minutes).

2) Discussion and decision-making:

3) The minutes of the constituent assembly should contain the following information:

  • Date and place of the meeting.
  • List of participants (for individuals - full name, date of birth, signature; for legal entities - name, EDRPOU code, legal address, full name of the authorised person, signature).
  • Decision to establish a non-governmental organisation (specify the purpose and objectives of the activity).
  • Name of the organisation (full and abbreviated, if any).
  • Approval of the charter of the non-governmental organisation.
  • Election of governing bodies (chairman, board, audit committee, etc.).
  • Appointment of a representative(s) for registration actions.

4) Signing the minutes

  • The minutes are signed by the chairman and the secretary of the meeting.

2. Timeframe for registration:

  • The state registration of a non-governmental organisation must be carried out within 60 days from the date of the constituent assembly.
  • If the documents for registration are not submitted within this period, the public association is considered to be unformed.

Note: A public association may be registered with or without the status of a legal entity.
