How to re-register your business (registration address of PE or LLC) that was relocated due to the war?

Share

Business Re-registration, including changing the location of a sole proprietorship (SP) or limited liability company (LLC) due to relocation caused by military actions, can be performed as follows:

For SPs (Sole Proprietors):

  • Online via the "Diia" Portal:
  • Log in to the "Diia" portal.
  • Go to the "Services" section and select "Update SP Information."
  • Complete the electronic application, specifying the new location.
  • Sign the application using your electronic signature.
  • Once the application is processed, the changes will be reflected in the Unified State Register (USR).
  • Offline via an Administrative Services Centre (ASC) or Notary:
  • Prepare the following documents:
  • Application for state registration of changes to SP information in the prescribed form.
  • A copy of your passport and taxpayer identification number (TIN).
  • Submit the documents to the nearest ASC or notary.
  • After processing, obtain an extract from the USR with the updated information.

For LLCs (Limited Liability Companies):

  • Offline via an ASC or Notary:
  • Prepare the following documents:
  • Application for state registration of changes to the legal entity's information in the prescribed form.
  • Protocol of the general assembly or a decision by the sole founder on changing the location and adopting a new charter version (if the previous charter included the address).
  • Updated charter (if required).
  • Copies of documents confirming the identities of ultimate beneficial owners (UBOs), if their information has changed.
  • Pay the administrative fee for making the changes.
  • Submit the documents to an ASC or notary.
  • After processing, obtain an extract from the USR with the updated information.

Important Notes:

  • After changing the location, you must notify the tax authorities of the new address.
  • If the administrative-territorial unit changes, additional requirements for re-registration with tax authorities may apply.
